Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2016, Dr. Gus S. Wetzel, II retired from the Board of Directors of Hawthorn Bancshares, Inc. and from the Board of Directors of our Company's subsidiary, Hawthorn Bank. Dr. Wetzel will continue to serve as an Advisory Director.
