Explanation of Responses:

(1)

On April 2, 2021, 2,500 shares of Issuer restricted stock vested pursuant to the Restricted Stock Agreement between the Issuer and the Reporting Person (the "Agreement"). The Issuer retained 892 shares to satisfy the tax withholding obligations in connection with the vesting as required by the terms of the Agreement and consistent with the Issuer's practice for satisfying such U.S. tax withholding obligations.
