Item 8.01. Other Events.

On August 4, 2021, Green Plains Inc. (the “Company”) issued a press release announcing it intends to offer, subject to market and other conditions, $150.0 million of common stock in an underwritten public offering registered under the Securities Act of 1933, as amended. The Company also intends to grant the underwriters a 30-day option to purchase up to an additional 15% aggregate of the common stock solely to cover over-allotments.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
