Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2011, Gerard Mead notified the Board of Directors of Gladstone Investment Corporation (the "Company") that he will not stand for reelection as a director of the Company and as a member of the Company’s Compensation Committee and Audit Committee. Mr. Mead intends to serve on the board until his term expires at the 2012 Annual Meeting of Stockholders, which is tentatively scheduled for August 2012. The Board thanks Mr. Mead for his services on the Board and wishes him well in his retirement from the Board.
