Explanation of Responses:

1. 25% of the RSUs on the first anniversary of June 1, 2024, and the remainder will vest thereafter in equal installments over the next twelve quarters beginning September 1, 2025, provided the reporting person remains a Service Provider (as defined in the 2020 Share Incentive Plan) through the Grant Date and each applicable vesting date in order to receive and vest in the applicable RSUs.
