This Statement constitutes Amendment No. 1 to the Schedule 13D filed with the Securities and Exchange Commission (“SEC”) on September 12, 2024 (the “Original Schedule 13D”), as amended through to the date hereof (the “Amended Schedule 13D”), with respect to the Common Shares of Flora Growth Corp. (the “Issuer”), held by Dany Vaiman (the “Reporting Person”). Except as set forth below, all Items of the Original Schedule 13D remain unchanged.

Purpose of Transaction

 

The transaction described in Item 5(c) below was made in the ordinary course of business and the Reporting Person has no plans or proposals regarding the acquisition or disposition of securities of the Issuer outside of the ordinary course of business that would result in an extraordinary corporate transaction, a sale or transfer of material assets of the Issuer or its subsidiaries, a change in the current board of directors or management of the Issuer, including the number or term of existing directors or to fill any vacancies on the board of directors of the Issuer, any material change in the present capitalization or dividend policy of the Issuer, any other material change in the Issuer’s business or corporate structure, any changes to the Issuer’s charter, bylaws or instruments corresponding thereto or any other actions which may impede the acquisition of control of the Issuer by any person, any action to cause a class of the Issuer to be delisted from a national securities exchange or cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association, any action resulting in eligibility for termination of registration of the Issuer’s securities pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934, as amended, or any other similar action.
