Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d) First Guaranty Bancshares, Inc. ("First Guaranty") elected Ms. Vanessa R. Drew to the Board of Directors for First Guaranty on September 15, 2022. Ms. Drew is not a party to any transaction with First Guaranty or First Guaranty Bank that would require disclosure under Item 404(a) of Securities and Exchange Commission Regulation S-K.

Ms. Drew is an Assistant Vice President/Administrative Officer with over 40+ years of banking experience at First Guaranty Bank. She is the Recording Secretary to the Board of Directors of First Guaranty Bancshares, Inc., as well as First Guaranty Bank, the Audit Committee, Investment Committee, and the Annual Shareholders Meeting. Ms. Drew is the Chairwoman of the Contributions Committee, handles shareholder services and the transfer agent desk. A notary public for the State of Louisiana since 1990, Ms. Drew attended Southeastern Louisiana University and was a past member of the American Business Women’s Association.
