Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2016, Sumit Rajpal notified Enstar Group Limited (the "Company") that he was resigning from its Board of Directors, effective immediately. Mr. Rajpal’s resignation was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices. Mr. Rajpal joined our Board of Directors in 2011 in connection with a significant investment by Goldman Sachs in the Company. The Company thanks Mr. Rajpal for his significant contributions during his tenure as a director.
