Item 5.07 Submission of Matters to a Vote of Security Holders.

Dyne Therapeutics, Inc. (the "Company") held its Annual Meeting of Stockholders on May 22, 2024. The following is a summary of the matters voted on at that meeting.

a)

The stockholders of the Company elected Carlo Incerti, M.D., Catherine Stehman-Breen, M.D. and John G. Cox as Class I directors, each to serve for a three-year term expiring at the 2027 annual meeting of stockholders and until his or her respective successor has been duly elected and qualified. The results of the stockholders’ vote with respect to such matter were as follows:
