Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 11, 2024, Shawn Munsell gave notice of his resignation from his position as Chief Financial Officer of Calavo Growers, Inc. (“Calavo”), effective November 29, 2024. His departure is not based on any disagreement with Calavo’s accounting principles, practices or financial statement disclosures.
