Explanatory Note

This Amendment No. 1 to Current Report on Form 8-K/A (the “Amendment”) is being filed to amend the Current Report on Form 8-K of LiveVox Holdings, Inc. (the “Company”) filed on March 2, 2023 (the “Original 8-K”), regarding the press release for the fourth quarter and full year ended December 31, 2022 (the “Press Release”). The Amendment is being filed solely to correct an inadvertent error in the Press Release, furnished as Exhibit 99.1 to the Original 8-K, which incorrectly indicated our “Adjusted EBITDA” guidance for the full year 2023 was expected to be a loss instead of the correct “Adjusted EBITDA” guidance range of a $3 million to $6 million gain. The updated version of the Press Release is furnished as Exhibit 99.1 hereto. No other changes have been made to the Original Form 8-K.

On March 2, 2023, LiveVox Holdings, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter and full year ended December 31, 2022. A copy of the press release is furnished hereby as Exhibit 99.1.
