Item 8.01. Other Events.

 

On September 17, 2020, Checkpoint Therapeutics, Inc. (the “Company”) suspended selling the Company’s common stock under the Controlled Equity Offering^SM Sales Agreement dated November 9, 2017, entered into by and among the Company, Cantor Fitzgerald & Co., Ladenburg Thalmann & Co. Inc. and H.C. Wainwright & Co., LLC, (the “Controlled Equity Offering Sales Agreement”) pursuant to the terms of the Controlled Equity Offering Sales Agreement.
