Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2021, Mr. Phil Shaer notified Canopy Growth Corporation (the “Company”) of his intention to resign as the Company’s Chief Legal Officer and Corporate Secretary. The effective date of Mr. Shaer’s resignation is October 1, 2021.
