Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 29, 2023, Patrick Y. Yang, Ph.D. provided notice to the board of directors (the “Board”) of Codexis, Inc. (the “Company”) of his intention not to stand for reelection to the Board at the expiration of his current term at the 2023 annual meeting of stockholders. Dr. Yang’s decision not to stand for reelection was not related to any disagreement with the Company on any matter relating to its operations, policies, practices or any issues regarding financial disclosures, accounting or legal matters.
