Explanation of Responses:
(1)	The Restricted Stock Units granted to the Reporting Person on August 5, 2021 (the "Original Grant Date") vest in equal installments on the first, second, third and fourth anniversaries of the Original Grant Date.
(2)	The reporting person disclaims beneficial ownership of 1,046,499 shares held by the reporting person's former spouse, 492 shares held by the reporting person's spouse, 337,087 shares held by the reporting person's adult son and 336,607 shares held by the reporting person's adult daughter, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
