Item 5.02 Departure of Directors or Certain Officers; Appointment of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2021, Richard I. Eisenstadt resigned as Chief Financial Officer of Aytu BioPharma, Inc. (the “Company”), effective December 30, 2021, to pursue another opportunity at a development-stage pharmaceutical company.  Mr. Eisenstadt’s resignation is not due to any outstanding issues with the Company or disagreements with respect to the Company’s operations, policies or practices, or the Company’s independent auditors.

The Company has initiated a search to identify and recruit a new candidate for the role of Chief Financial Officer.

​
