EXPLANATORY NOTE

 

AudioCodes Ltd. (the "Company") announced today the results of its Annual General Meeting of Shareholders (the "Meeting") held on September 14, 2022, at the Company's offices.

 

The Company's shareholders voted on the proposals on the Meeting's agenda.  Each of agenda items 1, 2, 4, 5 and 6 were voted upon and were approved by the required majority of the Company’s shareholders. Agenda item 3 (renewal of the compensation policy for officers and directors of the Company) was voted upon and was not approved by the required majority of the Company's shareholders. In accordance with the Israeli Companies Law, 5759-1999, the proposal will be returned to the Board of Directors and its Compensation Committee, which have the authority to approve the compensation policy under certain circumstances despite the shareholder vote.
