Explanation of Responses:
(1)	These Stock Units accrued as dividend equivalents on previously awarded Stock Units. Each Stock Unit is the economic equivalent of one share of Atrion Corporation common stock. These Stock Units are fully vested and will each convert into one share of Atrion Corporation common stock to be delivered to the reporting person as elected pursuant to the Deferred Compensation Plan.
