Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)  Resignation of Director.

 

On September 18, 2019, Robert S. Weiss notified the Board of Directors (the “Board”) of Accuray Incorporated (the “Company”) of his intention not to stand for re-election at the Company’s 2019 annual meeting of stockholders to be held in November 2019 (the “Annual Meeting”). Mr. Weiss will continue to serve as a director and member of the Audit and Nominating and Corporate Governance Committees until the conclusion of the Annual Meeting. The decision by Mr. Weiss to not stand for re-election is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
