Item 8.01.

Other Events.

On September 27, 2019, Alnylam U.S., Inc. (“Alnylam U.S.”) repaid in full the $30 million outstanding principal amount under the credit agreement among Alnylam U.S., as borrower, Alnylam Pharmaceuticals, Inc., as a guarantor, and Wells Fargo Bank, National Association, as the lender (the “Credit Agreement”). The Credit Agreement, which was scheduled to mature on April 29, 2021, terminated in accordance with its terms upon repayment of the outstanding indebtedness.
