Scipher plc ("Scipher")

Proposed listing of 1,021,942 new Scipher ordinary shares in relation to the
acquisition of yet2.com Inc.

Scipher announces that application has been made to the UK Listing Authority,
and to the London Stock Exchange, for 1,021,942 new Scipher ordinary shares of
1p each to be admitted to the Official List and to trading on the London Stock
Exchange's market for listed securities. Admission of the shares is anticipated
to be effective on 14 February 2003.

The issue of the new Scipher ordinary shares represents the second tranche of
initial consideration in respect of the acquisition by Scipher of yet2.com Inc.
which was announced on 13 December 2002 and completed on 16 December 2002.
