               PRESTBURY HOLDINGS PLC ("Company" or "Prestbury")



                       Notification of change in interest


The Company was notified on 19 June 2003 that on 17 June 2003, Principal
Corporate Investor plc ("PCI") sold 62,500 ordinary shares of 5p each in the
Company at 80p to Brit Insurance Holdings PLC ("Brit").



Following this transaction PCI and Brit now retain 575,500 and 937,500 Ordinary
Shares respectively representing 4.00% and 6.52% of the issued share capital of
Prestbury.
