                    DISPOSAL OF SUBSIDIARY COMPANIES UPDATE



Further to the announcement on 20 August 2003 regarding the disposal of its two
subsidiary companies, Urania Securities Limited ("Urania") and Bolton Group plc
("Bolton Group"), to Hill Finance Ltd ("Hill Finance") for a consideration of
#160,000, Bolton Group (International) Limited ("Bolton") announces that the
agreement with Hill Finance did not complete due to the failure by Hill Finance
to pay the #160,000 consideration prior to the contractual completion date of
not later than 31 August 2003.



On 5 September 2003, Bolton entered into agreements with Mileplace Limited and
Pathmist Limited which agreed to acquire Urania and Bolton Group for a total
consideration of  #160,001 and otherwise on substantially the same terms
previously agreed with Hill Finance. The disposal was completed on 5 September
2003.
