                                BOARD CHANGES

Bolton Group (International) Limited ("Bolton Group" or the "Company") announces
that on 8 September 2003 Mr Joseph Vure and Mr Israel Librowski vacated their
offices as directors of the Company.

On 9 September 2003, Mr Nicholas J A Littlewood was appointed as the Chairman
and as a Director of Company and Mr Jack Law was appointed the Chief Executive
Officer of the Company. Mr Peter Derby resigned as Chairman and as a Director of
the Company on the same day.

On 4 September 2003, Mr Littlewood subscribed for 3,030,000 new ordinary shares
in the Company at 1.29p per share in cash. Application will be made to the UK
Listing Authority for admission of these shares in due course.

The Company also announces that the following share options were granted on 9
September 2003 under the Company's Unapproved Share Option Scheme:-

Nicholas Littlewood, the new Chairman of Bolton Group, said: "The recent changes
to the Board enhance the opportunity for us to seek further expansion into other
fields, which offer greater potential for growth, such as the media and real
estate sectors in China."

There are no disclosures required to be made in respect of Mr Littlewood under
paragraph 6.F.2 of the Listing Rules.

Bolton Group also announces that with effect from 1 October 2003, the registered
office of the Company will be chnanged to Canon's Court, 22 Victoria Street,
Hamilton, HM12 Bermuda.
