                    FAUPEL TRADING GROUP PLC (the "Company")

                             DIRECTOR SHAREHOLDING


The Company was informed on 2 October 2003 that Laurence Mead, a director of the
Company, acquired 150,000 ordinary shares of 5p each ("Ordinary Shares") at 25p
per share on 2 October 2003. Following this acquisition, Mr Mead is interested
in 1,350,000 Ordinary Shares, representing 8.59 per cent. of the Company's
issued share capital. This interest includes 1,200,000 Ordinary Shares in which
Mr Mead is interested as a result of his 40 per cent. ownership of Max Money
Resources Limited ("Max Money Resources"), which owns 3,000,000 Ordinary Shares,
representing 19.10 per cent. of the Company's issued share capital.


Mr Mead proposes to transfer the 150,000 Ordinary Shares he has acquired to Max
Money Resources. Following such transfer, Max Money Resources would be
interested in 3,150,000 Ordinary Shares, representing 20.05 per cent. of the
Company's issued share capital. Mr Mead would be interested in 1,260,000
Ordinary Shares, representing 8.02 per cent. of the Company's issued share
capital, as a result of his 40 per cent. ownership of Max Money Resources. A
further announcement will be made when such transfer takes place.


As Max Money Resources would be interested in more than 20 per cent. of the
Company's issued share capital, it would be entitled to appoint an additional
non-executive director to the board of the Company pursuant to the subscription
agreement dated 15 November 2001 between the Company and Max Money Resources.
