In the final results announcement released on 13th May the Board proposed a
capital restructure to reduce the par value of the Ordinary Shares from 50p to
10p in order to facilitate any possible future equity transactions and the
company's inclusion in the dividend list.  This proposal was subject to
Shareholder approval, which was given at the AGM held on 23rd July 2003.
Application has subsequently been made to the Courts for the necessary
confirmation and this has been granted.

Following the restructure the number of shares in issue remains the same at
24,628,872 but these are now Ordinary Shares of 10p.
