The board of Weatherly International PLC ("Weatherly" or the "Company") today
announces that further to its announcement on 3 June 2003 regarding its reasons
for maintaining a listing on AIM, it has posted a circular to shareholders
giving notice of an EGM to be held at City Point, one Ropemaker St, London EC2
at 1030 hrs on 23 January 2004.



The EGM will consider and if thought fit, pass resolutions regarding a proposal
from a group of investors to inject #250,000 before expenses into the Company,
by subscribing for 8,333,334 New Consolidated Ordinary Shares at 3p per share.
This injection of new equity will allow settlement of all the Company's
outstanding liabilities, support immediate working capital requirements and
allow the company's shares to begin trading again on AIM.



Jack Najarian, William Odenthal and Fred Buglione will all step down as
directors and shareholders will be asked to approve the appointment of Richard
Armstrong as Chairman and Peter Redmond as new directors of the Company.
