                   Weatherly International plc ("Weatherly")

         Request for delisting the Company's shares from trading on AIM

Since the business of the Company's operating subsidiary, Weatherly Securities
Inc. was wound down in August 2002, Weatherly has been a cash shell with very
limited financial resources. The directors have considered a number of potential
new opportunities for the company but these have not come to fruition. In the
circumstances the directors consider that it is no longer appropriate to
maintain the trading facility on AIM and consequently have formally applied to
delist the company's shares from trading on AIM, which will take effect from 3rd
June 2003.
