                      Planit Holdings PLC (the "Company")

                            Director's Shareholding

The Company was informed on 22 April 2003 that on the same day Mr Michael
Jackson, Chairman of the Company, and his children's Trust, each purchased
250,000 ordinary 10p shares in the Company ("Ordinary Shares") at 18p per
Ordinary Share. Following this transaction, Mr Jackson has a beneficial interest
in 4,410,666 Ordinary Shares, which represents 4.98 per cent. of the Company's
issued Ordinary Share capital and a non-beneficial interest in 250,000 Ordinary
Shares, which represents 0.28 per cent. of the Company's issued Ordinary Share
capital.
