Majesco Entertainment Announces Filing of Universal Shelf Registration Statement

EDISON, N.J., June 15  /PRNewswire-FirstCall/ -- Majesco Entertainment Company (NASDAQ:COOL), an innovative provider of video games for the mass market, announced today that it has filed a universal shelf registration statement on Form S-3 with the US Securities and Exchange Commission ("SEC"). If and when the shelf registration statement is declared effective by the SEC, it will allow the Company to raise capital from time to time through the sale of various types of securities not to exceed an aggregate value of $20 million.

Although the Company does not have any current commitments or intentions to sell securities, the shelf registration statement provides flexibility for the Company to quickly access the capital markets with equity, debt or other types of securities through one or more methods of distribution. The terms of any future offering would be established at the time of such offering subject to market conditions. Any offering of securities covered by the shelf registration statement will be made only by means of a written prospectus and prospectus supplement.

A registration statement relating to these securities has been filed with the SEC, but has not yet become effective.
