Admission Facility in respect of ordinary shares

SuperSeed Capital (AQSE: WWW), a company established as a venture capital fund of funds for early-stage artificial intelligence and software companies, announces that, further to the announcement made on 27 June 2023, an application has been made to the Aquis Stock Exchange ("AQSE") for an Admission Facility (the "Admission Facility") in respect of any New Ordinary Shares (the "New Ordinary Shares") created following the exercise of warrants granted to VSA Capital ("VSA Warrants") to aid liquidity in the market. There are 100,000 VSA Warrants which have a strike price of GBP1.12 per warrant.

The purpose of the Admission Facility is to avoid potentially frequent announcements of the admission to trading of small numbers of ordinary shares arising from the exercise of the VSA Warrants (the "Permitted Purpose"). For small issues of ordinary shares for the Permitted Purpose, the Company will not apply for the New Ordinary Shares to be admitted to trading and no announcement of the issue will be made. The Company has agreed with AQSE that, at the end of each calendar month, an application will be made to admit the New Ordinary Shares issued during that month under the Admission Facility to trading on AQSE. An announcement will also be made giving details of the number of New Ordinary Shares issued during the month under the Admission Facility and for which application for admission to trading has been made.

Furthermore, if, at any time, the number of New Ordinary Shares issued under the Admission Facility since any previous announcement of the total number of ordinary shares in issue, exceeds three per cent of the existing issued share capital of the Company, an immediate application for admission to trading will be made in respect of the New Ordinary Shares issued, accompanied by an announcement of the relevant details. A further announcement will then be made either at the end of the month or if the number of shares issued again exceeds three per cent.

Once issued, the New Ordinary Shares will be issued credited as fully paid and rank pari passu with existing issued ordinary shares of no par value.

The Admission Facility is expected to become effective on or around 10 July 2023.
