                 ENERGY CAPITAL INVESTMENT COMPANY PLC ("ECIC")


                          Management Agreement Changes

The board of ECIC announces that in order to expedite the liquidation of its
remaining investments it has, with the full cooperation of its investment
manager, EnCap Investments LLC ("EnCap"), revised the management agreement to
remove certain investments from the management of EnCap.

The investments to be removed will include all the listed investments where ECIC
is deemed to be an affiliate of the underlying issuer as a result of EnCap's
management of the investments. After the effective date of the supplemental
management agreement these investments will be managed by the Board of ECIC and
at 31 March 2003 were valued at $20.1 million.
