                  Result of the Annual General Meeting ("UDG")

Further to the announcement on 28 August 2003 that, at the Annual General
Meeting held that day, all the resolutions were passed including the resolutions
necessary for the reduction of share capital and the share consolidation and
sub-division, the Board of UDG announces that the sale of fractional
entitlements arising as a result of the share consolidation has been completed.

Following the share consolidation (and prior to the share sub-division) the
number of shares to be sold, in respect of fractional entitlements, amounted to
3524.99 Ordinary Shares of #10 each. In the circular sent to shareholders prior
to the Annual General Meeting, it was stated that these consolidated shares
would be sold at not less than #35 per share.  Following the share sub-division
each of these Ordinary Shares was sub-divided into 100 Ordinary Shares of 10p
each and on 1 September 2003 were placed by the Company's brokers with
institutional and other investors at 35p per share.  The gross proceeds of the
sale are expected to be remitted on a pro rata basis to the relevant
shareholders on 15 September 2003.

The Company now has (following the share sub-division) an authorised Ordinary
Share Capital of #1,000,000 comprising 10,000,000 Ordinary Shares of 10p each of
which 4,544,900 Ordinary Shares are in issue.
