                            DIRECTOR'S SHAREHOLDING


The Company has been informed that Edward Adams, Chairman of Universal Direct,
yesterday bought 164,252 shares in the company at 40p from Bybrook Ltd, through
his Jersey Trust. This will take the shareholding of the Allied Trust Company as
trustee of the Asvattha Trust to 584,086 shares or 12.85% of the issued ordinary
share capital.
