                           Universal Direct Group plc
                  Result of the Annual General Meeting ("UDG")

The Board of UDG announces that at the Annual General Meeting held today, all
the resolutions were passed including the resolutions necessary for the
reduction of share capital and the share consolidation and sub-division as
announced on 29 July 2003.

Fractional entitlements arising as a result of the share consolidation and
sub-division are being sold on behalf of those entitled thereto.  Application
has been made to the Alternative Investment Market of the London Stock Exchange
("AiM") for the new ordinary shares of 10p each to be traded on AiM with effect
from 29 August 2003.

The disposal of Andromeda Holdings Limited has also been completed.
