Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2008, the Board of Directors of Asia Time Corporation (the “Company”) approved an amendment to the Company’s 2008 Equity Incentive Plan by adopting the Amended and Restated 2008 Equity Incentive Plan (the “Plan”).   The purpose of the amendment is to limit the aggregate number of shares that the Company may issue pursuant to the Plan during any twelve (12) month period during the term of the Plan to 10% of the average number of issued and outstanding shares during such 12-month period. As a result, issuances under the amended Plan will not result in an adjustment to the conversion price of the convertible bonds that the Company issued in November 2007.

A copy of the Amended and Restated 2008 Equity Incentive Plan is filed as Exhibit 4.1 hereto and is incorporated herein by reference.
