Item 8.01 Other Events.

 

On February 23, 2018, Ring Energy, Inc. (the “Company”) issued a press release announcing the pricing of an underwritten public offering of 5,300,000 shares of its common stock to the public at $14.00 per share. The Company has granted the underwriters a 30-day option to purchase up to an additional 804,000 shares of common stock from the Company at the offering price, less underwriting discounts and commissions, solely to cover over-allotments. A copy of the press release is attached hereto as Exhibit 99.1.
