Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 12, 2021, Spark Networks SE (the “Company”) and Bert Althaus, the Company’s Chief Financial Officer, agreed that Mr. Althaus would be leaving the Company effective as of September 30, 2021. The final terms of Mr. Althaus’ separation agreement have not yet been fully negotiated.
