Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective April 25, 2017, director Theodore J. Dalheim, Jr. resigned from the Board of Directors of Centrus Energy Corp. Mr. Dalheim was elected to the Board by the holders of the Class B common stock, who have the right to elect a total of two directors of the Company.
