DIRECTORS' SHARE TRANSACTIONS

Kier Group announces that on 3 April 2003 directors were allotted ordinary
shares in the Company following exercise of options under the Kier Group
Performance Related Option Scheme at an Exercise Price of 189.5p per share, as
follows:

Mr C R W Busby - 8,000 shares

Mr J Dodds - 8,000 shares

Miss D E Mattar - 2,000 shares

Mr M P W Scarth - 8,000 shares

Mr R W Side - 2,000 shares.

On the same day directors sold shares in the Company at a price of 410p per
share, as follows:

Mr C R W Busby - 8,000 shares

Mr J Dodds - 8,000 shares

Mr M P W Scarth - 15,700 shares

Mr R W Side - 2,000 shares

Following these transactions the holdings of the above mentioned directors were:

Mr C R W Busby - 625,951 shares (1.8% of the issued share capital)

Mr J Dodds - 566,387 shares (1.6% of the issued share capital)

Miss D E Mattar - 28,775 shares (0.1% of the issued share capital)
