Explanation of Responses:

(1)

This Form is being filed to report the exercise of a stock option for a total of 10,000 shares of Common Stock. The stock option was initially granted to the Reporting Person on October 2, 2013 for an aggregate of 40,000 shares of Common Stock (the "Initial Option"). Simultaneously with the exercise of the stock option, the Reporting Person sold 4,626 shares of Common Stock on the open market at a price of $16.80 per share in order to pay for the aggregate option exercise price of $77,600. As a result of these simultaneous transactions, the Reporting Person, on a net basis, acquired ownership of 5,374 shares of Common Stock. The Reporting Person remains entitled to exercise the remaining 30,000 shares of Common Stock underlying the Initial Option until October 2, 2018.
