This Schedule TO/A amends and supplements the Schedule TO filed with the Securities and Exchange Commission on November 3, 2010 (together with any amendments and supplements thereto, the "Schedule TO"), relating to the offer by iMergent, Inc., a Delaware corporation (the "Company"), to purchase for cash up to $4,750,000 in value of shares of its common stock, $0.001 par value per share, at a price not greater than $4.75 per share nor less than $4.35 per share, net to the seller in cash, less any applicable withholding taxes and without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated November 3, 2010 (the "Offer to Purchase"), a copy of which is attached to the Schedule TO as Exhibit (a)(1)(A), and the related Letter of Transmittal (which together, as they may be amended and supplemented from time to time, constitute the "Offer"), a copy of which is attached to the Schedule TO as Exhibit (a)(1)(B).   Capitalized terms used but not otherwise defined herein shall have the respective meanings assigned to such terms in the Offer to Purchase.

 

The Schedule TO is hereby amended and supplemented by adding the following text thereto:

 

On December 2, 2010, the Company extended the Offer until 11:59 p.m., New York City time, on Friday, December 10, 2010, unless further extended. As of 5:00 p.m. on December 1, 2010, 277,797 shares had been tendered pursuant to the Offer. The full text of a press release issued by the Company announcing the extension to the Offer is filed as Exhibit (a)(5)(4) hereto and is incorporated herein by reference.
