APPROVAL OF RENEWAL OF FIDELITY BOND
WHEREAS: | Rule 17g-1 under the Investment Company Act of 1940, as amended (the “1940 Act”) requires each registered management investment company to provide and maintain a fidelity bond, in the form of an investment company blanket bond, joint bond or individual bonds with respect to each “covered person,” against larceny and embezzlement, covering each officer and employee of the investment company (a “Fidelity Bond”); and |
WHEREAS: | In connection with the consideration of the proposed renewal of a Fidelity Bond for GraniteShares ETF Trust (the “Trust”), the Board of Trustees of the Trust (the “Board,” with the members of the Board referred to individually as the “Trustees”), including the Trustees who are not “interested person[s],” as defined in Section 2(a)(19) of the 1940 Act, of the Trust (collectively, the “Independent Trustees”), has duly considered all relevant factors, including, but not limited to, the value of the current aggregate assets of the Trust; the type and terms of the arrangements made for the custody and safekeeping of such assets; the nature of the securities in the portfolios of the Trust’s series; the amount of coverage and terms of the Fidelity Bond and the premium to be paid by the Trust, as discussed at this meeting; |
NOW, THEREFORE, BE IT:
RESOLVED: | That the Board, including a majority of the Independent Trustees, hereby approves the Fidelity Bond, as discussed at this meeting; and it is further |
RESOLVED: | That the Secretary of the Trust be, and hereby is, designated as the officer of the Trust who is authorized and directed to make such filings and give such notice relating to the Trust’s Fidelity Bond coverage as may be required by law; and it is further |
RESOLVED: | That the officers of the Trust be, and each of them hereby is, authorized to increase the amount of the Fidelity Bond from time to time to ensure adequate coverage based upon all relevant factors, including the value of the Trust’s assets, to enable the Trust to remain in compliance with the 1940 Act, including Rule 17g-1(d) thereunder; and it is further |
RESOLVED: | That the appropriate officers of the Trust be, and they hereby are, authorized and directed to take all steps necessary and appropriate to carry out the intent and accomplish the purpose of the foregoing resolutions. |
