             Hanover Capital Group Plc ("Hanover" or the "Company")


                              Allotment of Shares



The board of Hanover announces the issue and allotment of  1,849,601 New
Ordinary Shares of 1p each at a price of 8p to the creditors of Underwriting and
Subscription Plc in accordance with the settlement agreement that was announced
by the Company on 21 March 2003.



The board also announces the issue and allotment of  1,853,731 New Ordinary
Shares of 1p each at a price of 8p to the creditors of Prestige Publishing Plc
in accordance with the settlement agreement that was announced by the Company on
28 March 2003.



Application has been made for these shares to be traded on the Alternative
Investment Market and dealings are expected to commence shortly.
