Amendment to Bridge Loan Agreement

 

On 14 December 2023, the Company signed an amendment to the Convertible Bridge Loan Agreement entered into with Mr. Roger James Hamilton on 16 October 2023. To date, Mr. Hamilton has to date provided the Company $1.9 million Director’s Loan and has agreed with the Company that $1.0 million will be converted into the same equity and upon the same terms that are issued pursuant to the next Qualified Financing Round.

 

The remaining $0.9 million, together with any further funds provided under the agreement, will be repaid in cash or converted into shares, at the discretion of the Lender, no earlier than 1st July 2024.
