ITEM 1. DESCRIPTION OF REGISTRANT'S SECURITIES TO BE REGISTERED

The securities to be registered hereunder are common shares of beneficial interest, $.01 par value per share (the "Shares"), of the First Trust Dow Jones Global Select Dividend Index Fund, a series of the First Trust Exchange-Traded Fund II (the "Registrant"). An application for listing of the Shares has been filed with the American Stock Exchange LLC. A description of the Shares is contained in the Preliminary Prospectus, which was a part of the Post-Effective Amendment No. 1 to the Registration Statement on Form N-1A (Registration Nos. 33-143964, 811-21944), filed with the Securities and Exchange Commission on August 24, 2007. Such descriptions are incorporated by reference herein.
