The Option was issued pursuant to the Company's Amended and Restated 2008 Long-Term Incentive Compensation Plan and shall vest and become exercisable over a period of three (3) years, with 750,000 shares vesting immediately upon November 1, 2016 and the remaining 2,250,000 shares vesting in three (3) installments of 750,000 each, annually, on the first, second and third anniversary of the option grant.
