On the date hereof, the Reporting Person directly beneficially 75,050 shares of common stock, par value $0.001 per share of Debt Resolve, Inc., consisting of: (a) 50 shares of common stock and (b) options to purchase 75,000 shares of common stock which are exercisable in three equal annual installments.
