We are offering 6,666,667 shares of the Company’s common stock, par value $0.001 per share, directly to OMF Fund IV SPV C LLC (“Orion”) pursuant to this prospectus supplement, the accompanying prospectus and a subscription agreement dated October 11, 2023 (the “Subscription Agreement”). The shares of common stock will be sold for a purchase price equal to $2.55 per share.

Our common stock is listed on the NYSE American LLC (the “NYSE American”) under the symbol “DC.” On October 10, 2023, the last reported sale price of our common stock as reported on the NYSE American was $2.75 per share.

As of the date of this prospectus supplement, the aggregate market value of our outstanding common stock held by non-affiliates was approximately $165 million, based on 79,073,605 shares of outstanding common stock, of which 19,108,975 shares were held by non-affiliates, and a per share price of $2.75 based on the closing price of our common stock on October 10, 2023.

The Company is an “emerging growth company,” as defined in the Jumpstart Our Business Startups Act of 2012. As such, the Company has elected to comply with certain reduced public company reporting requirements for this prospectus and may elect to do so in future filings.

We are engaged in the business of acquisition and exploration of mineral properties within the Homestake Gold District of the Black Hills of South Dakota. To date, while no development or mining activities have commenced, our strategy is to move projects from exploration to development and finally into production as results of exploration may dictate. Use of Proceeds:

We estimate that our net proceeds from this offering, after deducting estimated offering expenses of $150,000, will be approximately $16.9 million.

We intend to use the net proceeds from this offering for the exploration and development of our mineral properties within the Homestake Gold District that are owned by us as of the date hereof, including for working capital requirements and general corporate purposes. USE OF PROCEEDS

We estimate that we will receive net proceeds of approximately $16.9 million from this offering, after deducting the estimated offering expenses payable by us.

We intend to use the net proceeds from this offering, together with our existing cash and cash equivalents, for the exploration and development of our mineral properties within the Homestake Gold District that we own as of the date hereof, including for working capital and general corporate purposes. We have not yet determined the amount of net proceeds to be used specifically for any particular purpose or the timing of these expenditures. Accordingly, our management will have significant discretion and flexibility in applying the net proceeds from the sale of these securities.

PLAN OF DISTRIBUTION

On October 11, 2023, we entered into the Subscription Agreement directly with Orion in connection with this offering for the sale of an aggregate of 6,666,667 shares of common stock at an offering price per share of $2.55, pursuant to this prospectus supplement and the accompanying prospectus. Our and Orion’s obligation to consummate the offering is subject to the conditions set forth in the Subscription Agreement. We will not incur any placement agent or underwriting fees in connection with the transaction.

We expect that delivery of the shares of our common stock to the investor will be made on or about October 20, 2023, subject to customary closing conditions.

We estimate that the total expenses of the offering payable by us will be approximately $150,000. We have agreed to reimburse the investor’s expenses related to this offering.

Voting Rights

The holders of our common stock are entitled to one vote per share with respect to all matters required by law to be submitted to stockholders. The holders of common stock have the sole right to vote. Election of directors requires the affirmative vote of a plurality of shares represented at a meeting, and other general stockholder action (other than an amendment to the Articles of Incorporation) requires the affirmative vote of a majority of shares represented at a meeting in which a quorum is represented.

Anti-Takeover Effects of Provisions of Nevada State Law

We may be, or in the future we may become, subject to Nevada’s control share laws. A corporation is subject to Nevada’s control share law if it has more than 200 stockholders, at least 100 of whom are stockholders of record and residents of Nevada, and if the corporation does business in Nevada, including through an affiliated corporation. This control share law may have the effect of discouraging corporate takeovers. As of July 11, 2022, we have less than 100 stockholders of record who are residents of Nevada.

The control share law focuses on the acquisition of a “controlling interest,” which means the ownership of outstanding voting shares that would be sufficient, but for the operation of the control share law, to enable the acquiring person to exercise the following proportions of the voting power of the corporation in the election of directors: (1) one-fifth or more but less than one-third; (2) one-third or more but less than a majority; or (3) a majority or more. The effect of the control share law is that an acquiring person, and those acting in association with that person, will obtain only such voting rights in the control shares as are conferred by a resolution of the

If the buyer or buyers of those shares themselves do not acquire a controlling interest, the shares are not governed by the control share law.
