                     APPOINTMENT OF CHIEF FINANCIAL OFFICER


COE Group plc ("COE"), the designer and manufacturer of networked video
surveillance products for use particularly in transport infrastructure, security
and industrial applications, has appointed Michael Barry Sandpearl, 59, as a
Director and Chief Financial Officer.  The Company's former finance director,
Colin Glass, remains on the Board as a non-executive director.


The appointment is in line with the Chairman's letter, dated 28 March 2003,
included in the Circular issued to shareholders in connection with the
acquisition of COE.


Mr Sandpearl is currently a director of MS Interim Ltd.  Before joining COE, Mr
Sandpearl was Chief Executive of the Bahamas transport operations of Hutchison
Port Holdings, a subsidiary of Hutchison Whampoa, Hong Kong.  He was also a
director of a number of trading subsidiaries whilst at Hutchison Whampoa,
including Freeport Container Port Limited, Freeport Maritime Services Limited,
Hutchison Ports (Bahamas) Holdings Limited and The Grand Bahama Airport Company
Limited.  Formerly, he held a number of senior financial and general management
positions in the U.K. and Hong Kong.


No further disclosure is required in accordance with paragraph (f) Schedule 2 of
the AIM Rules.
